Our services may be temporarily unavailable due to scheduled maintenance, upgrades, emergency repairs, or circumstances beyond our control such as internet service disruptions, power outages, or natural disasters. Active service contracts will be honored according to their original terms unless otherwise agreed with the client.

5. Intellectual Property Rights

5.1 Our Content and Materials

All content, materials, and intellectual property on our website and in our services, including but not limited to:

• Text, graphics, logos, icons, images, and visual content
• Research methodologies, frameworks, and analytical tools
• Software, code, databases, and technical implementations
• Trademarks, service marks, and brand elements

are owned by or licensed to Player Insights and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission.

5.2 Client-Provided Content

When you provide content, materials, or data to us in connection with our services, you retain ownership of that content. However, you grant Player Insights a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and analyze such content solely for the purpose of providing our services and fulfilling our contractual obligations. This license terminates upon completion of the project, except for content needed for record-keeping or legal compliance.

5.3 Research Reports and Deliverables

Research reports and deliverables created specifically for a client under a service agreement are provided for the client's internal business use. Clients receive a license to use these materials for their intended purpose but do not acquire ownership of our underlying methodologies, templates, or frameworks. Clients may not resell, redistribute, or publicly disclose our research reports without prior written consent, except as necessary for their internal operations.

5.4 Copyright and Trademark Notices

All copyright, trademark, and other proprietary notices displayed on our website and in our materials must remain intact and unaltered. Unauthorized use of our trademarks, logos, or brand elements is prohibited. The Player Insights name and logo are trademarks of our company and may not be used without permission.

6. Payment and Pricing

6.1 Service Fees: Pricing for our research services is clearly stated on our website or provided in project proposals. All fees are in United States Dollars unless otherwise specified. Pricing is subject to change, but changes will not affect services already under contract.

6.2 Payment Terms: Payment terms are established in individual service agreements. Typical arrangements include deposits due upon contract signing and final payments due upon project completion. Late payments may incur interest charges at the maximum rate permitted by law.

6.3 Refund Policy: Refunds are handled on a case-by-case basis according to the terms of individual service agreements. Generally, deposits are non-refundable once work has commenced, though we strive to work collaboratively with clients to resolve any concerns.

6.4 Taxes: Prices do not include applicable sales tax, value-added tax, or other taxes or duties. Clients are responsible for all applicable taxes except those based on Player Insights' income.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Player Insights shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability for all claims arising from or related to these Terms of Service or our services shall not exceed the total amount paid by you to Player Insights during the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Player Insights, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms of Service, your use of our services, your violation of any third-party rights, or your violation of any applicable laws or regulations.

9. Governing Law and Disputes

9.1 Governing Law: These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

9.2 Dispute Resolution: Any disputes arising from these terms or our services should first be addressed through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration in Boston, Massachusetts, in accordance with the rules of the American Arbitration Association.

9.3 Jurisdiction: For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts.

10. General Provisions

10.1 Entire Agreement: These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Player Insights regarding your use of our services.

10.2 Severability: If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10.3 Waiver: Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

10.4 Assignment: You may not assign or transfer these terms or your rights under them without our prior written consent. We may assign our rights and obligations under these terms without restriction.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify users by updating the effective date at the top of this page and, when appropriate, providing additional notice such as email notification or a prominent notice on our website.
